1. Acceptance of Terms

By accessing or using SetLedger ("the Service," "we," "our," or "us") at setledger.io, you ("User," "you") agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all visitors, users, and others who access the Service.

2. Description of Service

SetLedger is a web-based analytics platform that allows DJs to upload historical set data, track performance statistics, manage playlists and track libraries, and gain insights into their performance history. Features vary by subscription tier (Free, Pro, Founding DJ).

3. Accounts & Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your login credentials.
  • You must be at least 18 years old to use the Service.
  • You are responsible for all activity that occurs under your account.
  • SetLedger reserves the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans & Billing

4.1 Plans

SetLedger offers the following plans:

  • Free: Limited features, no payment required.
  • Pro: Monthly or annual subscription with full feature access.
  • Founding DJ: Legacy pricing for early adopters with grandfathered rates.

4.2 Billing

  • Subscriptions are billed in advance on a monthly or annual cycle.
  • All fees are in USD and are non-refundable except as required by law or outlined in our refund policy.
  • We use a third-party payment processor (e.g., Polar) to handle transactions. Your payment information is not stored on our servers.

4.3 Upgrades, Downgrades & Cancellations

  • You may upgrade, downgrade, or cancel your plan at any time through your account settings.
  • Cancellation takes effect at the end of the current billing period. You retain access until that date.
  • Downgrading may result in loss of access to certain features or data visibility.

4.4 Price Changes

SetLedger reserves the right to modify pricing with 30 days' notice. Founding DJ rates are locked as described at time of purchase.

5. User Content & Data

5.1 Your Data

You retain full ownership of all set data, track lists, and performance records you upload to SetLedger. By uploading content, you grant SetLedger a limited, non-exclusive, royalty-free license to store, process, and display your data for the purpose of providing the Service.

5.2 Acceptable Use

You agree not to:

  • Upload content you do not have the right to share.
  • Reverse engineer, scrape, or extract data from the platform.
  • Use the Service for any unlawful purpose.
  • Attempt to gain unauthorized access to other users' data.

5.3 Data Accuracy

SetLedger processes the data you provide. We are not responsible for inaccuracies resulting from incomplete or incorrectly formatted uploads.

6. Intellectual Property

All software, design, trademarks, logos, and content created by SetLedger -- including the SetLedger name, branding, and analytics engine -- are the exclusive property of SetLedger and protected under applicable intellectual property laws. Nothing in these Terms grants you ownership of SetLedger's IP.

7. Availability & Uptime

SetLedger is provided on an "as-is" and "as-available" basis. We strive for high availability but do not guarantee uninterrupted service. We reserve the right to perform maintenance, updates, or modifications at any time with or without notice.

8. Limitation of Liability

To the maximum extent permitted by law:

  • SetLedger is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.
  • Our total cumulative liability to you shall not exceed the amount you paid to SetLedger in the 12 months preceding the claim.
  • SetLedger is not responsible for loss of data due to user error, third-party service failures, or events outside our reasonable control.

9. Disclaimer of Warranties

SetLedger makes no warranties, express or implied, regarding the Service, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. Analytics and insights provided are for informational purposes only.

10. Termination

SetLedger may suspend or terminate your account at any time for violation of these Terms. Upon termination, your right to access the Service ceases. You may request an export of your data within 30 days of termination, after which it may be deleted.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ontario.

12. Changes to Terms

We may update these Terms at any time. We will notify users of material changes via email or an in-app notice at least 14 days before the change takes effect. Continued use of the Service after that date constitutes acceptance of the new Terms.
